Conyers represented Athene Holding Ltd (the “Company”), a Bermuda company listed on the New York Stock Exchange in a transaction with Apollo Global Management Inc that required an amendment to the Company’s bye-laws to eliminate the Company’s multi-class common share structure into a single class of common shares. The transaction also included Apollo Global Management Inc investing an additional US$ 1.6 billion effectively doubling its investment in Athene Holding Ltd.

Conyers acted for the Company with respect to all Bermuda law aspects including advising on mechanics to effect the conversion, assisting with the bye-law amendments to effect the restructuring, advising the board of Athene on directors duties and other issues relating to the transaction and advising on/obtaining/making all required regulatory approvals/notifications.
