Conyers acted as special legal counsel in the British Virgin Islands and the Cayman Islands to Central China Real Estate Limited (the “Company”) and certain subsidiary guarantors of the Company: Joy Ascend Holdings Limited, Sino Joy Enterprises Limited, Central China Real Estate Holdings Limited, Proud Sky Investments Limited, Leapup Limited, Bumper Up Limited and Artstar Investments Limited, in connection with the Company’s issue of 6.75% Senior Notes due 2021 with an aggregate principal amount of US$200 million (the “New Notes”) to be consolidated and forming a single series with the 6.75% Senior Notes due 2021 with an aggregate principal amount of US$200 million (the “Original Notes” and, together with the New Notes, the “Notes”)

The Notes are listed on the Official List of the SGX-ST.

The Company develops hotels, commercial and residential buildings and other properties in the People’s Republic of China (PRC). It also engages in property investment consulting, leasing, and management activities, as well as in hotel management, designing, commerce and trading and financial services businesses. It was founded in 1992 and is based in Zhengzhou, the PRC.
