Conyers acted as Bermuda advisers to Digicel Group Limited, a leading provider of communication services in the Caribbean, Central America and Asia Pacific regions, in connection with a US$1.35 billion three-tranche syndicated loan facility to its subsidiary, Digicel International Finance Limited.
The facility was comprised of a Term A loan made up of separate US Dollar and Euro-denominated loans worth roughly US$300 million, a Term B loan valued at US$955 million and a US$100 million revolving credit facility. Citi acted as Administrative Agent and as joint book runner with JPMorgan, and co-lead arranger with JPMorgan, Barclays, Credit Suisse and Deutsche Bank.
Marcello Ausenda, Robert Alexander and Kathleen Moniz of Conyers provided Bermuda law advice to Digicel, while Davis Polk & Wardell LLP in New York advised Digicel on US matters. Pillsbury Winthrop Shaw Pittman in New York advised Citi.
