Conyers advises on the restructuring of GFI Software group of companies

January 2015 Cora S. Miller

Conyers Dill & Pearman provided BVI law advice on the restructuring of the GFI Software group of companies to create two new companies, LogicNow and GFI, and includes MAXfocus (formerly GFI MAX). LogicNow, which includes MAXfocus, IASO cloud back-up and other cloud-based products, will focus on SaaS technologies under a subscription model. GFI will focus on private cloud solutions delivered to IT administrators in end-user organizations.

MAXfocus is the most successful Managed Service Provider (MSP) platform in the world with 10,000+ customers across more than 100 countries. As part of the reorganization MAXfocus was re-named MAXfocus. With award-winning products such as MAXRemoteManagement, MAXMail, MAXServiceDesk and MAXBackup, MAXfocus will remain completely focused on delivering to the needs of MSPs and IT service providers.

GFI is a channel-focused company with thousands of partners throughout the world. The company has received numerous awards and industry accolades, and is a longtime Microsoft® Gold ISV Partner.

Cora Miller of Conyers’ BVI office advised on the matter, working alongside Willkie Farr & Gallagher LLP and DLA Piper.
