Jacari Brimmer-Landy is an Associate in the Bermuda Corporate practice. Jacari joined Conyers in 2018 as a trainee, qualifying in October 2019.

Jacari’s practice includes all aspects of general corporate and commercial law, including cross-border corporate finance, mergers and acquisitions, amalgamations, shipping, aviation, insurance and compliance and regulatory matters.

Experience

Advised FTAI Aviation Ltd. (NASDAQ: FTAI) on a sale and leaseback transaction with LATAM Airlines Group SA (LATAM) for more than 30 aircraft. The transaction also involved a Perpetual Power Agreement where FTAI will provide LATAM with a comprehensive engine power solution for CFM56 and V2500 engines through an engine exchange program.
Advised GasLog Ltd. on its sustainability-linked refinancing consisting of a US$2.8 billion loan with 14 banks secured by 23 LNG carriers. The loan is understood to be the largest ever debt financing recorded in the global shipping space.
Provided Bermuda law advice and assistance to Textainer Group Holdings Limited (“Textainer”) (NYSE: TGH; JSE: TXT) on its definitive agreement to be acquired by US infrastructure investment firm Stonepeak. Under the terms of the definitive agreement, which was unanimously approved by Textainer’s Board of Directors, Textainer common shareholders will receive $50.00 per share in cash, with the total value of the common shares equalling approximately US$2.1 billion.
Advised IHS Markit Ltd. on a Bermuda-law-governed merger with a subsidiary of S&P Global Inc. The merger created a leading information services provider with an enterprise value of approximately US$140 billion.
Advised CAI International, Inc. (NYSE: CAI) (“CAI”), one of the world’s leading transportation finance companies, on its US$1.1 billion merger with Mitsubishi HC Capital Inc. (“MHC”).
Advised G2D Investments, Ltd. (“G2D”) on the initial public offering of its Class A common shares and Brazilian depositary receipts for an aggregate amount of approximately R$260 million.
