Joshua DeAllie is an Associate in the Bermuda Corporate practice.

Josh’s practice includes all aspects of general corporate and commercial law with a focus on mergers and acquisitions, restructurings, and advising on Bermuda law related aspects of transactions for local and exempted companies. He also advises on cross-border and investment business regulated activities as well as compliance with Bermuda’s Economic Substance requirements and immigration.

Experience

Advised Aircastle Limited in connection with the offering of US$500 million aggregate principal amount of its 5.250% senior notes due 2030 (the “Notes”) and the listing of the Notes on the Bermuda Stock Exchange.
Advised Carnival Corporation in respect of its private offering of US$1 billion aggregate principal amount of 5.875% senior unsecured notes due 2031.
Advised Michael Penrose, Joel Edwards and Igal Wizman of EY as joint receivers of The Elbow Beach Hotel and Development Company, Limited (in receivership) on the sale of the Elbow Beach Hotel and Fritholme Gardens Residences to the Loren Group.
Acted as special Bermuda counsel to Teekay Corporation Ltd. and Teekay Tankers Ltd. on their redomiciliation from the Marshall Islands to Bermuda, positioning the NYSE-listed companies for long-term success.
Advised BW LPG Limited in connection with its dual listing on the NYSE and scheme of arrangement whereby the company discontinued from Bermuda to Singapore.
Advised Hafnia Limited in connection with its dual listing on the NYSE as well as a wider discontinuance project, resulting in the company becoming Singapore incorporated.
Advised Digicel Limited and other affiliated entities (together, “Digicel”) on its consensual US$3.8 billion cross-border restructuring, acting as lead counsel for two schemes of arrangement in Bermuda and chapter 15 recognition proceedings in the United States.
