Sarah Lusher is a Counsel in the Bermuda Corporate practice.
Sarah’s practice includes all aspects of corporate and commercial law, including cross border and multi-jurisdictional corporate finance, M&A, re-domestications, partnerships and insurance law and regulation. She advises both exempted and local companies in a variety of areas, such as restructurings, refinancing, business formation and corporate governance.
Sarah also frequently advises on regulatory matters, focusing on economic substance, AML/ATF compliance and the licensing and ongoing compliance obligations of regulated entities, including investment funds, segregated accounts companies, insurance companies and insurance intermediaries. Sarah acts for a number of public companies and financial institutions.

- Advised Meiji Yasuda Life Insurance Company (“Meiji Yasuda”) on its entry into a strategic partnership and agreement to acquire 100% of the outstanding shares of Legal & General America, Inc. (“LGA”) and its subsidiaries which includes Legal & General America Reinsurance Ltd., a Bermuda incorporated and licensed Class E insurer.
- Advised Odfjell Drilling Ltd. on the spinoff of its well services and energy segments into newly established Odfjell Technology Ltd., and subsequent distribution of shares.
- Advised Arch Capital Group Ltd. in connection with a public offering of 20,000,000 Depositary Shares each of which represents a 1/1,000th interest in a 4.550% Non-Cumulative Preferred Share, Series G, of Arch Capital Group Ltd. (the “Series G Preferred Shares”). Proceeds from the offering were used to redeem Arch Capital Group Ltd.’s 5.25% Series E Preferred Shares and for general corporate purposes.
