Conyers Dill & Pearman LLP was pleased to advise Crestline Investors, Inc. on its definitive agreement to sell its subsidiary Crestline Management, L.P., an alternative investment manager with approximately $17 billion in assets under management, including certain elements of its insurance business, to global alternative asset manager Rithm Capital Corp.

Cayman Islands Partner Derek Stenson and Senior Associates Frank Farrell and Caroline Dekker advised Crestline on various insurance regulatory and insurance M&A aspects of the transaction.

The transaction is expected to close in the fourth quarter 2025, subject to customary regulatory approvals and closing conditions including the receipt of Cayman Islands insurance regulatory approvals that Conyers will assist in obtaining.
