Conyers provided British Virgin Islands and Cayman Islands legal advice to Sunac China Holdings Limited (“Sunac China”) in connection with the 2 tranches of placing and subscription relating to shares in Sunac China with Sunac International Investment Holdings Ltd. as seller (the “Seller”), and Morgan Stanley & Co. International plc as placing agent (the “Placing Agent”) in respect of the (i) sale of a total of 787,000,000 ordinary shares of the Company (the “Sale Shares”) by the Seller to a limited number of professional investors procured by the Placing Agent and (ii) issuance by Sunac China of a total of 787,000,000 new ordinary shares of Sunac China to the Seller.
Sunac China is principally engaged in the development and sale of properties in the People’s Republic of China.
