Conyers advised the sellers on the acquisition by Nippon Yusen Kabushiki Kaisha (NYK Line) of a 50% stake in Avenir LNG Limited (Avenir LNG) from Stolt-Nielsen Gas Ltd. (Stolt-Nielsen Gas), a wholly owned subsidiary of Stolt-Nielsen Limited (Oslo Børs: SNI). Stolt-Nielsen Gas previously held 100% ownership of Avenir LNG.
The transaction was structured as a share purchase agreement and established a 50/50 joint venture between NYK Line and Stolt-Nielsen Gas for the ownership and operation of Avenir LNG.
Avenir LNG is a leading independent owner and operator of small-scale LNG carriers and LNG bunker vessels, with one of the largest fleets of LNG bunker vessels globally. The company operates a fleet of five small-scale LNG bunkering vessels.
