Nicole Yearwood is an Associate in the Bermuda Corporate practice.

Nicole’s practice includes all aspects of general corporate and commercial law, including corporate reorganisations, cross-border corporate finance, insurance law and regulation, partnerships and the establishment and regulation of investment funds. Nicole also advises on compliance with Bermuda’s Economic Substance requirements.

  • Advised on the establishment and licensing of Greengrove Re Ltd. as a special purpose insurer. The transaction included the issuance of US$100 million Series 2025-1 Class A Principal At-Risk Variable Notes to investors.
  • Advised Gateway Re Ltd., a special purpose insurer, on the issuance of its US$150 million Series 2025-2 Class A Principal At-Risk Variable Rate Notes due 7 July 2028 to investors.
  • Advised special purpose insurer Hestia Re Ltd. on its US$300 million catastrophe bond issuance including US$200 million Series 2025-1 Class A Principal At-Risk Variable Rate Notes and US$100 million Class B Principal At-Risk Variable Notes due 13 March 2028 to investors.
  • Advised Gateway Re Ltd. on its notes issuance totalling US$520 million. This was another Bermuda catastrophe bond transaction sponsored by SureChoice Underwriters Reciprocal Exchange and SageSure’s largest catastrophe bond transaction.
  • Acted as special Bermuda counsel advising on the establishment and licensing of special purpose insurer Bridge Street Re Ltd. The transaction included the issuance of US$250 million Series 2025-1 Class A Principal At-Risk Variable Notes to investors.
  • Advised special purpose insurer Herbie Re Ltd. on its US$375 million catastrophe bond issuance.
  • Advised on the establishment and licensing of Bellemeade Re 2024-1 Ltd. as a special purpose insurer. The transaction included the issuance of a total of US$163,164,000 Series 2024-1 Mortgage Insurance-Linked Notes due 25 August 2034 to investors.
  • Advised Fidelis Insurance Holdings Limited in connection with a secondary SEC-registered public offering by certain shareholders (including CVC, Crestview, Travelers and ADIA) of 9 million common shares at a price of US$16.00 per common share on the New York Stock Exchange.
  • Advised FTAI Aviation Ltd. (NASDAQ: FTAI) on a sale and leaseback transaction with LATAM Airlines Group SA (LATAM) for more than 30 aircraft. The transaction also involved a Perpetual Power Agreement where FTAI will provide LATAM with a comprehensive engine power solution for CFM56 and V2500 engines through an engine exchange program.
