Sophia Collis is a Senior Associate in the Bermuda Corporate practice.

Sophia’s practice covers all aspects of corporate and commercial law including general corporate matters, capital markets, insurance law and regulation and finance transactions, and advising on investment funds. Sophia has acted for private and public companies across a broad range of industries which include energy, manufacturing, business and financial services, real estate, technology and pharmaceuticals.

Advised Azerbaijani cargo airline Silk Way West Airlines (SWW) on the delivery of its third brand-new Boeing B777 freighter. The transaction involved providing Bermuda law advice in connection with the purchase of the aircraft and on the financing.
Advised Truist Securities Inc. and HSBC Bank Bermuda Limited (collectively, the “Lenders”) in connection with the business combination of Argus Group Holdings Ltd. and BF&M Limited.
Advised Shelf Drilling, Ltd., a Cayman company listed on the Oslo Stock Exchange, on its acquisition of 100% of Shelf Drilling (North Sea), Ltd. (“SDNS”), a Bermuda company listed on Euronext Growth Oslo.
Advised Digicel Limited and other affiliated entities (together, “Digicel”) on its consensual US$3.8 billion cross-border restructuring, acting as lead counsel for two schemes of arrangement in Bermuda and chapter 15 recognition proceedings in the United States.
Advised 3i Infrastructure plc (“3i Infrastructure”) on the Bermuda law aspects of its agreement to acquire Global Cloud Xchange (“GCX”) for approximately US$512 million.
Advised Roivant Sciences Ltd. in its business combination by merger of a subsidiary with Montes Archimedes Acquisition Corp. (MAAC) to combine and create publicly traded Biopharma and Health Technology company.
Advised TP ICAP plc (“TP ICAP”) on the Bermuda law aspects of its acquisition of leading global electronic trading network Liquidnet Holdings, Inc (“Liquidnet”) for a consideration of US$700 million.
Advised on the establishment and licensing of Bellemeade Re 2021-1 Ltd. as a special purpose insurer. The transaction included the issuance of a total of US$579,717,000 Series 2021-1 Mortgage Insurance-Linked Notes to investors.
Advised on the establishment and licensing of Four Lakes Re Ltd. as a special purpose insurer. The transaction included the issuance of a total of US$175,000,000 Series 2021-1 Principal At-Risk Variable Rate Notes to investors.
