William Cooper is a Director in the Bermuda Corporate practice. William joined Conyers as a Pupil in 2014 and qualified as an Associate in 2015. His practice covers all aspects of Bermuda corporate law, with a focus on insurance, investment fund and investment business law and regulation.

William specialises in the formation, registration and ongoing regulation of investment funds, investment businesses and insurers, and has advised on the formation, licensing and listing on the Bermuda Stock Exchange of numerous cat bond special purpose insurance vehicles. William also regularly advises on various matters of general corporate and commercial law, including incorporations/formations, continuations, financings, mergers and acquisitions.

  • Advised James River Group Holdings, Ltd. on the sale of its subsidiary, JRG Reinsurance Company, a Bermuda Class 3B Insurer, to Fleming Insurance Holdings, a portfolio company of Altamont Capital Partners.
  • Provided extensive advice to clients in relation to amendments to the Investment Business Act (“IBA”), and assisted client in successful application to be registered as a Class B Registered Person; subsequently assisted client in applying to Ministry of Finance for consent to carry on a restricted business activity.
  • Advised on the establishment and registration of Fish Pond Re Ltd. as a special purpose insurer and its issuance of US$255 million Series 2024-1 Class A Principal At-Risk Variable Rate Notes due January 8, 2027, which were listed on the Bermuda Stock Exchange.
  • Advised Sanders Re III Ltd. on its issuance of US$150 million Series 2022-2 Class A Principal-at-Risk Variable Rate Notes due 7 June 2025, US$100 million Series 2022-2 Class B Principal-at-Risk Variable Rate Notes due 7 June 2025 and US$37.5 million Series 2022-2 Class C Principal-at-Risk Variable Rate Notes due 7 June 2023 to investors.
  • Advised on the establishment and licensing of Sanders Re III Ltd. as a special purpose insurer. The transaction included the issuance of US$550 million Series 2022-1 Principal-at-Risk Variable Rate Notes due 7 April 2026 to investors.
  • Advised on the establishment and licensing of Outrigger Re Ltd. as a special purpose insurer. The transaction included the issuance of preference shares to investors in the total amount of US$250,000,000.
