Conyers provided Bermuda law advice to Avolon Holdings Limited (“Avolon”), an international aircraft leasing company, in connection with the establishment of a US$1.5 billion commercial paper programme (the “Programme”) by Avolon Aerospace Leasing Limited (the “Issuer”), a wholly-owned subsidiary of Avolon. Avolon issued an announcement in connection with the Programme on 6 August 2026.

Under the Programme, the Issuer may issue from time to time short-term, unsecured commercial paper notes (the “Notes”), with the aggregate principal amount of Notes outstanding at any time not to exceed US$1.5 billion. The Notes are fully and unconditionally guaranteed by Avolon and by certain of its subsidiaries. The Notes and the guarantees will rank pari passu with all other unsecured and unsubordinated indebtedness of the Issuer and the guarantors, respectively.

Net proceeds from future issuances under the Programme will be used for general corporate purposes, which may include funding aircraft acquisitions and repaying existing debt.
