Jason Piney is a Director in the Bermuda Corporate practice. Jason joined Conyers in 2005 and became a Director in 2012.

Jason’s practice covers general corporate and commercial matters with particular focus on public companies, securities and financing. Jason has extensive experience in a wide variety of international asset finance and corporate transactions, including debt and equity offerings, mergers and acquisitions, joint ventures and cross-border financings. Jason has particular expertise in financings involving aircraft, including aircraft acquisitions and dispositions, aircraft portfolio securitizations, sale-leasebacks, pre-delivery payment and warehouse facilities and he has worked on several of the most significant aircraft securitizations and financings in the market.

  • Advised Azerbaijani cargo airline Silk Way West Airlines (SWW) on the delivery of its third brand-new Boeing B777 freighter. The transaction involved providing Bermuda law advice in connection with the purchase of the aircraft and on the financing.
  • Advised Aircastle Limited in connection with the offering of US$500 million aggregate principal amount of its 5.250% senior notes due 2030 (the “Notes”) and the listing of the Notes on the Bermuda Stock Exchange.
  • Advised New Fortress Energy Inc. (Nasdaq: NFE), global energy infrastructure company, on the sale of its assets and operations in Jamaica to Excelerate Energy, Inc. (NYSE: EE) for US$1.055 billion.
  • Advised Avolon Holdings Limited, the international aircraft leasing company, on a US$850 million private offering by its wholly owned subsidiary Avolon Holdings Funding Limited.
  • Advised FTAI Aviation Ltd. (NASDAQ: FTAI) on a sale and leaseback transaction with LATAM Airlines Group SA (LATAM) for more than 30 aircraft. The transaction also involved a Perpetual Power Agreement where FTAI will provide LATAM with a comprehensive engine power solution for CFM56 and V2500 engines through an engine exchange program.
  • Advised Viking Holdings Ltd. (“Viking”) on its initial public offering (“IPO”) on the New York Stock Exchange (NYSE: VIK). With US$1.77 billion of shares sold to the market, Viking’s IPO is the biggest US stock market debut of 2024.
  • Advised Financials Acquisition Corp (FAC) on its business combination with Bermuda-incorporated London Innovation Underwriters Limited (LIU) and proposed capital raise by way of a global offering of new securities and proposed admittance of LIU to the main market of London Stock Exchange (LSE).
  • Acted as Bermuda counsel to SeaCube Container Leasing Ltd. (SeaCube) on the sale by Ontario Teachers’ Pension Plan Board (OTPP) of a stake in SeaCube to Wren House Infrastructure Management (Wren House), the London-based infrastructure subsidiary of the Kuwait Investment Authority (KIA).
  • Assisted Genesis on a new six-year US$215 million Term Loan. The proceeds were raised to refinance existing aircraft and release the existing warehouse capacity to support future growth. The transaction received the “Structured Finance Deal of the Year” at the 2023 Airline Economics’ Americas 100 Awards.
  • Assisted Aircastle Limited on a US$500 million equity commitment from its shareholders, Marubeni Corporation and Mizuho Leasing. The shareholder equity commitment was funded in two tranches, with US$200 million funded in July 2023 and the remaining US$300 million funded in the first quarter of fiscal 2024.
  • Advised on the sale of Goshawk Management Limited and its subsidiaries and associated assets from NWS Holdings Limited and Chow Tai Fook Enterprises Limited to SMBC Aviation Capital Limited (SMBC AC) for an enterprise value of US$6.7 billion. The combined business becomes the second largest leasing company (by number of aircraft) globally.
