Conyers acted as special legal counsel in the Cayman Islands to Huijing Holdings Company Limited (“Huijing Holdings”) in connection with the offer (the “Exchange Offer”) by Huijing Holdings to exchange any and all of its outstanding 12.50% senior notes due 2022 (the “Existing Notes”) for consideration consisting of, for each US$1,000 principal amount of the outstanding Existing Notes accepted for exchange, (i) US$1,000 in aggregate principal amount of the US$ denominated senior notes due 2023 (the “New Notes”); (ii) any accrued and unpaid interest on the Existing Notes in cash; and (iii) cash (rounded to the nearest US$0.01, with US$0.005 rounded upwards) in lieu of any fractional amount of New Notes equal to the principal amount of the New Notes not issued.

Conyers also acted as special legal counsel in the British Virgin Islands to the subsidiary guarantors of Huijing Holdings, Heng Fu Grand Holdings Limited, Heng Fu Grand Development Limited, Hai Feng International Holdings Limited, Hui Jing Group (International) Company Limited, Hui Kam International Holdings Company Limited and Great Mission Trading Limited in connection with the Exchange Offer.

Huijing Holdings is an investment holding company mainly engaged in real estate development. The Company’s integrated property projects generally include residential and commercial properties. The Company mainly operates its business in the domestic market.
