Conyers advised on the establishment and licensing of Integrity Re III Ltd. as a special purpose insurer, sponsored by American Integrity Insurance Group.
The transaction included the issuance of a total of US$565 million Series 2025-1 Principal At-Risk Variable Notes to investors to cover southeast US named storm risk. Conyers’ role included assisting with registering the company with the Bermuda Monetary Authority, facilitating the listing of the notes on the Bermuda Stock Exchange and providing Bermuda law advice to the company up to closing.
