Conyers provided Bermuda law advice to Venture Global Shipping Holdings, LLC (“VGSH”), a wholly-owned subsidiary of Venture Global, Inc. (NYSE: VG) (“Venture Global”) and certain Bermuda subsidiaries of Venture Global, in connection with VGSH entering into a US$1.5 billion senior secured vessel financing facility.
VGSH entered into a Credit and Guaranty Agreement providing for a senior secured term loan facility in an aggregate amount of up to US$1,500,000,000 (the “Facility”). Deutsche Bank and ING acted as coordinating lead arrangers for the Facility, with ING also serving as facility agent and security trustee.
