Jessica Almeida is a Senior Associate in the Bermuda Corporate practice. Jessica’s practice includes all aspects of corporate and commercial law, with a particular focus on (re)insurance law and regulation, including the formation, licensing and ongoing regulatory requirements for Bermuda captives, special purpose insurers in the insurance-linked securities sector and commercial (re)insurers.
She also advises on continuations, mergers and acquisitions, reorganizations, bond issues, IPOs and direct listings, equity and debt financing and private placements. She is also a member of the Conyers’ listing sponsorship team in Bermuda, assisting issuers of securities on the Bermuda Stock Exchange.

- Advised SiriusPoint Ltd. on its US$400 million offering of 7.00% senior unsecured notes due 2029 (“Notes”), a cash tender offer for its 4.600% senior notes due 2026 and the redemption of all of its outstanding 7.00% senior notes due 2025.
- Advised Banyan Risk Ltd. (i) on the launch of a new MGA, Banyan Excess Liability Ltd and its partnership with PartnerRe Insurance Solutions Ltd. (“PartnerRe”) to write excess casualty insurance cover, with PartnerRe providing capacity and shareholder support, and (ii) a long-term strategic partnership between Banyan Risk Ltd. and PartnerRe to expand its D&O insurance capacity.
- Advised SiriusPoint Ltd. on its secondary offering of 4,106,631 common shares and repurchase of 500,000 common shares at the public offering price.
- Acted as advisor to Roivant Sciences Ltd. in connection with the sale of Dermavant Sciences Ltd. to Organon & Co. for aggregate consideration of up to approximately US$1.2 billion.
- Advised SiriusPoint Ltd. in connection with its offering of senior unsecured notes, a cash tender offer for any and all of its 4.600% Senior Notes due 2026 and the redemption of all of its outstanding 7.00% Senior Notes due 2025 as well as applications to the Bermuda Monetary Authority to have the New Notes treated as other fixed capital on the Statutory Statement of Capital and Surplus and as Tier 3 ancillary capital of the insurance group under the Bermuda Insurance (Group Supervision) Rules 2011.
- Advised Digicel Limited and other affiliated entitites (together, “Digicel”) on its consensual US$3.8 billion cross-border restructuring, acting as lead counsel for two schemes of arrangement in Bermuda and chapter 15 recognition proceedings in the United States.
- Advised Resolution Life on its US$3 billion equity capital raise in partnership with Blackstone to help solidify Resolution Life’s position as a leader in the multi-trillion-dollar global life and annuity consolidation market.
- Acted as listing sponsor to Corsair Finance (Ireland) No.2 DAC on the admission of its Series 35 US$100,000,000 loan-linked notes due 2028 to the Official List of the Bermuda Stock Exchange.
