David Stubbs is Counsel in the Bermuda Corporate practice. He joined Conyers in 2017. David’s practice consists of a broad range of corporate and finance matters, including bond issues, private placements, IPOs, mergers and acquisitions, corporate insolvencies and restructurings. David also leads Conyers’ listing sponsorship team in Bermuda, assisting issuers of securities on the Bermuda Stock Exchange.
Prior to joining Conyers in 2017, David practiced with both Dewey & LeBoeuf LLP and Cleary Gottlieb Steen & Hamilton LLP, where he acted in a broad range of finance matters, including secondments to Deutsche Bank in 2011, the Principal Investments team at HSBC in 2014 and Eurasian Resources Group in 2016.

- Advised Aircastle Limited in connection with the offering of US$500 million aggregate principal amount of its 5.250% senior notes due 2030 (the “Notes”) and the listing of the Notes on the Bermuda Stock Exchange.
- Advised on the establishment and licensing of Bellemeade Re 2024-1 Ltd. as a special purpose insurer. The transaction included the issuance of a total of US$163,164,000 Series 2024-1 Mortgage Insurance-Linked Notes due 25 August 2034 to investors.
- Advised Nabors Industries Ltd. (“Nabors”) in connection with Nabors Industries, Inc.’s US$550 million issuance of 8.8875% senior fully and unconditionally guaranteed notes due in 2031.
- Advised Nabors Industries Ltd. (“Nabors”) on its amendment and restatement of US$475 million credit facility, by its wholly owned subsidiary Nabors Industries, Inc.
- Advised Nabors Industries Ltd. (“Nabors”) on its wholly-owned subsidiary Nabors Industries, Inc.’s two notes offerings totalling US$900 million.
- Advised Bunge on its US$30+ billion cross-border business combination agreement with Viterra Limited (Jersey) in a cash and stock transaction.
- Assisted Bunge with completing the move of its group holding company from Bermuda to Switzerland. The transaction was effected by a reverse triangular merger pursuant to a Bermuda scheme of arrangement.
- Advised Aircastle Funding (Ireland) DAC (the “Issuer”), a wholly-owned subsidiary of Aircastle Limited, on the admission of its US$1.28 billion senior notes due 1 April 2028 to the Bermuda Stock Exchange.
- Acted as listing sponsor to Corsair Finance (Ireland) No.2 DAC on the admission of its Series 35 US$100,000,000 loan-linked notes due 2028 to the Official List of the Bermuda Stock Exchange.
