Conyers advised Resolution Life Group Holdings Ltd. and its subsidiaries (together “Resolution Life”) in connection with the completion of its acquisition by Nippon Life Insurance Company (“Nippon Life”).
This follows the December 2024 announcement that Nippon Life would consolidate its ownership interest by acquiring the remaining shares from Resolution Life’s investment limited partnership.
The Conyers team led by Jacqueline King, advised on all aspects of Bermuda law and regulation relating to the sale and purchase of the shares including obtaining all necessary regulatory approvals required under Bermuda law to close the acquisition and ensure the integration of Resolution Life into Nippon’s global holdings.
Resolution Life is a global life insurance group which is focused on the acquisition and ongoing management of portfolios of life insurance policies, which is subject to Bermuda insurance group supervision by the Bermuda Monetary Authority.
