- Advised FGH Parent, L.P. and its subsidiaries (together “Fortitude Re”), a Bermuda regulated insurance group, on its inaugural US$750 million senior note offering.
- Advised Truist Securities Inc. and HSBC Bank Bermuda Limited (collectively, the “Lenders”) in connection with the business combination of Argus Group Holdings Ltd. and BF&M Limited.
- Advised MetLife, Inc. on the structuring, formation and launch of Chariot Reinsurance, Ltd. and its affiliated holding entities.
- Advised Resolution Life Group Holdings, Ltd. and its subsidiaries (together “Resolution Life”), a Bermuda regulated insurance group, on the acquisition of 100% of its shares by Nippon Life at a valuation of US$10.6 billion.
- Acted as advisor to Roivant Sciences Ltd. in connection with the sale of Dermavant Sciences Ltd. to Organon & Co. for aggregate consideration of up to approximately US$1.2 billion.
- Advised Viking Holdings Ltd. (“Viking”) on its initial public offering (“IPO”) on the New York Stock Exchange (NYSE: VIK). With US$1.77 billion of shares sold to the market, Viking’s IPO is the biggest US stock market debut of 2024.
- Advised Digicel Limited and other affiliated entitites (together, “Digicel”) on its consensual US$3.8 billion cross-border restructuring, acting as lead counsel for two schemes of arrangement in Bermuda and chapter 15 recognition proceedings in the United States.
- Advised Financials Acquisition Corp (FAC) on its business combination with Bermuda-incorporated London Innovation Underwriters Limited (LIU) and proposed capital raise by way of a global offering of new securities and proposed admittance of LIU to the main market of London Stock Exchange (LSE).
- Acted as Bermuda counsel to SeaCube Container Leasing Ltd. (SeaCube) on the sale by Ontario Teachers’ Pension Plan Board (OTPP) of a stake in SeaCube to Wren House Infrastructure Management (Wren House), the London-based infrastructure subsidiary of the Kuwait Investment Authority (KIA).
- Advised Resolution Life on its US$3 billion equity capital raise in partnership with Blackstone to help solidify Resolution Life’s position as a leader in the multi-trillion-dollar global life and annuity consolidation market.
