Conyers advised on the establishment and licensing of Ryan Alternative Capital Re, Ltd., a collateralised reinsurer sponsored by Ryan Specialty. The Conyers team advised on the Bermuda law aspects the reinsurer’s first reinsurance sidecar transaction.
The transaction raised approximately US$400 million in committed capital from funds backed by Flexpoint Ford and Sixth Street through the issuance of account-linked preference shares, with proceeds used to collateralise Ryan Alternative Capital Re, Ltd.’s obligations under a reinsurance agreement with AXIS.
Ryan Alternative Capital Re, Ltd. was established to provide reinsurance capacity to Ryan Specialty Underwriting Managers’ portfolio of syndicated delegated authority P&C insurance business.
