Conyers advised Hansa Investment Company Limited (“Hansa”) in connection with its shareholder-approved combination by Bermuda Scheme of Arrangement with Ocean Wilsons Holdings Limited (“Ocean Wilsons”).
Under the terms of the combination, Hansa acquired the entire issued share capital of Ocean Wilsons. The combination was executed through a court-sanctioned scheme of arrangement under Bermuda law and completed on 9 December 2025.
This combination is expected to consolidate the company’s market position and enhance shareholder value. As part of the transaction, Ocean Wilsons’ shares were delisted from the London and Bermuda Stock Exchanges, reflecting a strategic change in market presence.
