Neil Henderson is a Director in the Bermuda Corporate practice. Neil joined Conyers in 2008.

Neil’s practice includes all aspects of commercial and corporate law, including public companies, partnerships, the formation of private equity and open-ended funds, exempted companies and other investment vehicles. His practice also includes the acquisition, continuation, amalgamation and reorganization of private and public companies.

  • Advised Michael Penrose, Joel Edwards and Igal Wizman of EY as joint receivers of The Elbow Beach Hotel and Development Company, Limited (in receivership) on the sale of the Elbow Beach Hotel and Fritholme Gardens Residences to the Loren Group.
  • Acted as advisor to Roivant Sciences Ltd. in connection with the sale of Dermavant Sciences Ltd. to Organon & Co. for aggregate consideration of up to approximately US$1.2 billion.
  • Assisted the Probitas Group in the acquisition of its ultimate holding company, Probitas Holdings (Bermuda) Limited by UK insurer Aviva Plc for GBP242 million.
  • Advised Linden Capital Partners (Linden) on its acquisition of LifeStyles Healthcare from a consortium of investors including Trustar Capital and Humanwell Healthcare.
  • Advised on the business combination of Roivant Sciences Ltd. with Montes Archimedes Acquisition Corporation (MAAC), a special purchase acquisition company sponsored by Patient Square Capital.
  • Advised Global Container International LLC (“GCI”) on its issuance of US$244.5 million fixed rate asset backed bonds secured by marine cargo containers, by its subsidiary GCI Funding I LLC.
  • Advised L Catterton on its investment by way of private placement by Norwegian Cruise Line Holdings Limited of up to US$400 million in aggregate principal amount of exchangeable senior notes due 2026.
  • Acted for the Issuers, START III Ltd. and START Holding III Ltd. on a US$539 million asset backed securitisation (ABS) comprising three tranches of notes secured on a portfolio of 20 in-production narrow-body aircraft.
  • Advised Urovant Sciences Ltd. on its initial public offering of 10,000,000 common shares at a price to the public of US$14.00 per share, for total gross proceeds of US$140 million.
  • Advised on the first IPO ever made by an investment bank in Brazil – estimated at US$1 to 1.5bn of shares represented by stapled units listed on the São Paulo stock exchange (BM&F Bovespa), and on Euronext in Amsterdam.
