Senior Associate

Andrew Barnes is a Senior Associate in the Bermuda Corporate practice. Andrew joined Conyers in 2019 after practising in the corporate department of another Bermuda law firm.

Andrew’s practice includes all aspects of general corporate and commercial law, including securitisations and structured finance, private equity, M&A, shipping and aviation. Andrew regularly advises on regulatory matters, focusing on privacy and data protection, energy, telecommunications, economic substance, sanctions and AML/ATF compliance.

Experience

  • Advised Aircastle Limited in connection with the offering of US$500 million aggregate principal amount of its 5.250% senior notes due 2030 (the “Notes”) and the listing of the Notes on the Bermuda Stock Exchange.
  • Advised Michael Penrose, Joel Edwards and Igal Wizman of EY as joint receivers of The Elbow Beach Hotel and Development Company, Limited (in receivership) on the sale of the Elbow Beach Hotel and Fritholme Gardens Residences to the Loren Group.
  • Advised Shelf Drilling, Ltd., a Cayman company listed on the Oslo Stock Exchange, on its acquisition of 100% of Shelf Drilling (North Sea), Ltd., a Bermuda company listed on Euronext Growth Oslo.
  • Advised Ventura Offshore on its private placement and listing on Euronext Growth Oslo raising proceeds of US$170 million, acquisition of all outstanding shares in Universal Energy Resources Inc., and US$130 million senior secured bond issuance.
  • Advised Viking Holdings Ltd. (“Viking”) on its initial public offering (“IPO”) on the New York Stock Exchange (NYSE: VIK). With US$1.77 billion of shares sold to the market, Viking’s IPO is the biggest US stock market debut of 2024.
  • Assisted Aircastle Limited with the offering of US$650 million aggregate principal amount of its 5.950% senior notes due 2029.
  • Provided Bermuda law advice and assistance to Textainer Group Holdings Limited (“Textainer”) (NYSE: TGH; JSE: TXT) on its definitive agreement to be acquired by US infrastructure investment firm Stonepeak. Under the terms of the definitive agreement, which was unanimously approved by Textainer’s Board of Directors, Textainer common shareholders will receive $50.00 per share in cash, with the total value of the common shares equalling approximately US$2.1 billion.
  • Assisted Aircastle Limited on a US$500 million equity commitment from its shareholders, Marubeni Corporation and Mizuho Leasing. The shareholder equity commitment was funded in two tranches, with US$200 million funded in July 2023 and the remaining US$300 million funded in the first quarter of fiscal 2024.
