Guy Cooper is a Director in the Bermuda Corporate practice. Guy rejoined Conyers’ Bermuda office in 2009 after working in Dubai and Abu Dhabi for several years.
Guy has a broad corporate practice covering all aspects of corporate, commercial and securities law with a particular focus on public companies, securities, financings and group restructurings. Guy has extensive experience in debt and capital markets, mergers and acquisitions, banking and asset finance, joint ventures, private equity and partnerships. Guy has particular expertise in the US and Norwegian markets including debt and equity offerings in private placements, secondary offerings and IPOs, bank financings, takeovers and restructurings.

- Advised GeoPark Limited in connection with its offering of US$550 million aggregate principal amount of 8.750% Senior Notes due 2030.
- Advised Shelf Drilling, Ltd., a Cayman company listed on the Oslo Stock Exchange, on its acquisition of 100% of Shelf Drilling (North Sea), Ltd. (“SDNS”), a Bermuda company listed on the Euronext Growth Oslo.
- Advised Ventura Offshore on its private placement and listing on Euronext Growth Oslo raising proceeds of US$170 million, acquisition of all outstanding shares in Universal Energy Resources Inc., and US$130 million senior secured bond issuance.
- Advised GeoPark Limited in connection with the tender offer to repurchase up to US$50,000,000 of its common shares and the dealer manager agreement with BTG Pactual US Capital, LLC.
- Advised BW LPG Limited in connection with its dual listing on the NYSE and scheme of arrangement whereby the company discontinued from Bermuda to Singapore.
- Advised Hafnia Limited in connection with its dual listing on the NYSE as well as a wider discontinuance project, resulting in the company becoming Singapore incorporated.
- Acted for Travelport Technology Limited in connection with a US$4.3 billion recapitalisaton and equity financing restructuring.
- Advised DNB Bank ASA in connection with a US$1.4 billion loan facility for Frontline to finance the purchase of 24 very large crude carriers. The deal expanded Frontline’s fleet from 65 to 89 vessels, establishing the company as the largest pure-play tanker owner in the public domain. This deal received the Wild Card Deal of the Year award by Marine Money magazine in 2023.
- Advised OSM Maritime in connection with the combination of the businesses of OSM Maritime Group and the Thome Group. The combined company, called OSM Thome, manages a fleet of more than 1,000 ships.
- Acted for Norvic Shipping International Ltd., a Bermuda company, together with certain non-Bermuda subsidiaries as borrowers, in connection with its entry into a new US$42.5 million revolving credit facility with Valley National Bank, as agent.
