Senior Associate

Katie Martin is a Senior Associate in the Bermuda Corporate practice. She joined Conyers in 2018.

Katie has a broad corporate and commercial law practice with experience that spans mergers and acquisitions, IPOs, schemes of arrangement, re-domestications, partnerships, private equity and investment funds. She also has a specialised focus on the licensing and ongoing regulation of all classes of (re)insurers, Katie also advises on regulatory matters, such as economic substance and the ongoing regulatory compliance obligations for licensed entities. She is instructed by a number of public companies, (re)insurers and other leading financial institutions. Katie is also a member of the Conyers’ listing sponsorship team in Bermuda, assisting issuers of securities on the Bermuda Stock Exchange.

  • Advised Bacardi Limited as the guarantor in connection with Bacardi-Martini B.V.’s US$1 billion notes offering. The notes include US$600 million aggregate amount of 5.550% notes due 2030 and US$400 million aggregate amount of 6.000% notes due 2035.
  • Advised SageSure Holdings, LLC on its acquisition of GeoVera Advantage Insurance Services, LLC. The transaction includes SageSure’s investment in GeoVera Nova Holdings, Inc. (“GeoVera Nova”), which has acquired GeoVera Insurance Holdings, Ltd.’s insurance carrier businesses by way of a merger with a Bermuda subsidiary of GeoVera Nova.
  • Advised Truist Securities Inc. and HSBC Bank Bermuda Limited (collectively, the “Lenders”) in connection with the business combination of Argus Group Holdings Ltd. and BF&M Limited.
  • Advised Oakley Capital Manager Limited in relation to the restructuring of the entire group and change of controller for Bermuda entities.
  • Advised special purpose insurer, East Lane Re VII Ltd. on its new catastrophe bond issuance of US$150 million Series 2024-1 Class A Principal-at-Risk Variable Rate Notes due March 31 2026, under a Principal At-Risk Variable Rate Program, which were listed on the Bermuda Stock Exchange.
  • Advised Bunge on its US$30+ billion cross-border business combination agreement with Viterra Limited (Jersey) in a cash and stock transaction.
  • Assisted Bunge with completing the move of its group holding company from Bermuda to Switzerland. The transaction was effected by a reverse triangular merger pursuant to a Bermuda scheme of arrangement.
