Director, Head of Bermuda Corporate Practice
Marcello Ausenda is a Director and Head of the Bermuda Corporate Practice. He also leads the firm’s Global Shipping Practice. Marcello joined Conyers in 2001 and became partner in 2007. His practice covers all aspects of general corporate and commercial matters with particular focus on public companies, securities and shipping, including ship financing. He also advises on partnerships, corporate relocations and restructurings.

- Advised Bruton Limited on its admission to trading on Euronext Growth Oslo, giving the company an estimated market capitalisation of NOK 514.8 million.
- Acted as special Bermuda counsel to Teekay Corporation Ltd. and Teekay Tankers Ltd. on their redomiciliation from the Marshall Islands to Bermuda, positioning the NYSE-listed companies for long-term success.
- Advised Golar LNG, a leading NASDAQ-listed maritime LNG infrastructure company, on its US$300 million unsecured bond issuance in the Nordic bond market and application for listing on the Oslo Stock Exchange.
- Advised Nabors Industries Ltd. in connection with Nabors Industries, Inc.’s US$550 million issuance of 8.8875% senior fully and unconditionally guaranteed notes due in 2031.
- Advised Nabors Industries Ltd. on its amendment and restatement of US$475 million credit facility, by its wholly owned subsidiary Nabors Industries, Inc.
- Advised Digicel Limited and other affiliated entities (together, “Digicel”) on its consensual US$3.8 billion cross-border restructuring, acting as lead counsel for two schemes of arrangement in Bermuda and chapter 15 recognition proceedings in the United States.
- Advised Bunge on its US$30+ billion cross-border business combination agreement with Viterra Limited (Jersey) in a cash and stock transaction.
- Advised Valaris Limited (NYSE: VAL), an industry leader in offshore drilling services, on its $400 million private placement of additional 8.375% senior secured second lien notes due 2030.
- Advised Liberty Global on the corporate redomiciliation from England to Bermuda, making it substantially easier for the company to plan and execute shareholder value-enhancing corporate transactions, while also reducing administrative burdens and expenses.
- Advised Nordic Trustee in connection with Borr Drilling’s offerings and placement of US$150 million senior secured 1st lien bonds and US$250 million senior unsecured convertible bonds.
