Conyers advised Assured Guaranty Ltd. (“AGL” and, together with its subsidiaries, “Assured Guaranty”) on its acquisition, through a subsidiary, of Warwick Company (UK) Limited (“Warwick Holdings”) and its subsidiaries, including Warwick Re Limited, a Bermuda incorporated and licensed Class E insurer.
The Conyers insurance team led by Jacqueline King and Chiara Nannini, advised on all aspects of Bermuda law and regulation relating to the acquisition and Bermuda regulatory approval process to acquire Warwick Holdings’ Bermuda based subsidiaries.
The Conyers employment team also advised on Bermuda employment matters in connection with the acquisition.
Assured Guaranty has renamed the acquired entity Assured Life Reinsurance Ltd.
AGL (NYSE: AGO) is a publicly traded Bermuda-based holding company. Through its subsidiaries, Assured Guaranty provides credit enhancement products to the US and non-US public finance, infrastructure and structured finance markets. Assured Guaranty also participates in the asset management business through its ownership interest in Sound Point Capital Management, LP and certain of its investment management affiliates.
