Conyers acted as special legal counsel in the Cayman Islands to Fantasia Holdings Group Co., Limited (“Fantasia Holdings”) in connection with (i) the issue by Fantasia Holdings of an aggregate principal amount of US$150 million 11.875% Senior Notes due 2023 (the “New Notes”) to be consolidated and forming a single series with the US$300 million 11.875% Senior Notes due 2023 issued by Fantasia Holdings on 1 June 2020 (the “Original Notes”, and together with the New Notes, the “June 2020 Notes”), and (ii) an offer by Fantasia Holdings to purchase up to the Maximum Acceptance Account of its outstanding 8.375% Senior Notes due 2021 for cash.
Conyers also acted as special legal counsel in the British Virgin Islands to the subsidiary guarantors of Fantasia Holdings, Fantastic Victory Limited and Fantasia Financial Community Group Co., Ltd. in connection with the issuance of the June 2020 Notes.
The Notes are listed on the Official List of the SGX-ST.
