Conyers advised TP ICAP plc (“TP ICAP”) on the Bermuda law aspects of its acquisition of leading global electronic trading network Liquidnet Holdings, Inc (“Liquidnet”) for a consideration of USD700 million. The consideration comprises US$525 million in cash, US$50 million of deferred consideration in the form of vendor loan notes and up to US$125 million in the form of an earn-out. The transaction completed on 24 March 2021.
