Conyers has acted as Cayman Islands counsel to SBI China Capital Asset Management Limited (“SBI China”) in connection with the establishment of a Cayman Islands private investment fund structured as an exempted limited partnership and focused on investments in works of art and other art-related assets.
Art investment funds present a number of unique legal and operational considerations when compared to traditional private equity and securities investment funds. In particular, matters relating to asset valuation, safekeeping arrangements, provenance and title verification, authenticity reviews and corporate governance require careful consideration when designing both the fund structure and its legal documentation. Conyers advised on the Cayman Islands aspects of the fund formation. The matter was led by Partner Piers Alexander, with support from Senior Associate Flora Zeng and Paralegal Bethany Yan.
The transaction highlights the increasing diversification of alternative investment strategies and the growing interest in art as an emerging asset class among professional investors. Conyers congratulates SBI China and the fund management team on the successful launch of the fund and looks forward to continuing to support the fund throughout its investment lifecycle and future development.
