Conyers acted as Cayman Islands legal counsel to Vesync Co., Ltd (“Vesync”) in connection with its privatisation by way of scheme of arrangement.
Vesync, a global leader in smart home appliances through brands like Levoit, Cosori, Etekcity, and Pawsync, has taken a strategic step by delisting from the Hong Kong Stock Exchange and restructuring its shareholdings.
This innovative transaction offered shareholders a choice between cash or shares, reflecting a flexible and investor-centric approach rarely seen in similar privatisation deals. It underscores Vesync’s commitment to aligning corporate strategy with shareholder value.
Consultant David Lamb, Partner Angie Chu and Associate Yvonne Lee of Conyers’ Hong Kong Office advised on the matter, working alongside Kirkland & Ellis.
