Conyers provided Bermuda and Cayman Islands law advice to Borr Drilling Limited (NYSE: BORR) (Euronext Growth Oslo: BORR) (“Borr Drilling”) in connection with its US$300 million offering of 3.50% convertible senior notes due 2033, comprising US$260 million aggregate principal amount of notes and a US$40 million overallotment option which was exercised in full.
The notes are senior, unsecured obligations of the Company, bear interest at a rate of 3.5% per annum payable semi-annually, mature on 1 May 2033, and are convertible into the Company’s common shares, cash, or a combination of shares and cash, at the Company’s election.
