Conyers advised Tsinghua Unigroup Co. Ltd. (“TUC”) on the successful restructuring of US$2 billion bonds, issued by Tsinghua Unic Limited (In Liquidation) and guaranteed by TUC.
The restructuring was implemented through a scheme of arrangement under the BVI Business Companies Act. The BVI Court granted leave to convene the scheme meeting on 13 May 2026 and sanctioned the scheme on 30 June 2026.
Conyers has advised TUC since 2021, providing advice in all aspects of the restructuring. Conyers has also advised on TUC’s successful restructuring of US$449.2 million keepwell bonds, which was completed in February 2026. Freshfields, led by Bing Guan, acted as international counsel to TUC.
