Conyers is acting as Cayman Islands legal counsel to NASDAQ-listed Digital Asset Acquisition Corp. on its entry into a business combination agreement with Old Glory Bank.
Old Glory Bank is a full-service, digital-first bank with over 80,000 personal and business accounts in all 50 of the United States and several other countries and the proposed business combination, which values Old Glory Bank at a pre-money valuation of US$250 million, will result in the creation of OGB Financial Company, a Texas corporation operating under NASDAQ ticker symbol “OGB.” The closing of the transaction is expected to occur at the end of the first quarter or early in the second quarter of 2026 and is subject to approval by the shareholders of the parties and other customary closing conditions, including regulatory approval.
