Conyers has acted as Cayman Islands legal counsel to Murano PV, S.A. DE C.V. (“Murano”), a real estate company that owns, develops and invests in hotel, resort and commercial properties throughout Mexico, on its business combination with Nasdaq listed HCM Acquisition Corp (“HCM”).
Under the terms of the merger, which closed on 20 March 2024, the shareholders of Murano and HCM exchanged their shares for shares in Murano Global Investments Plc, a newly-formed Jersey company which listed on the Nasdaq stock market under ticker symbol MRNO. The transaction reflects a pro forma enterprise value of US$810 million.
Partners Nicholas Pattman and Alex Davies, Counsel Matthew Harkness and Associate Mauricio Da Rocha advised on the Cayman Islands aspects of the transaction working alongside Clifford Chance US LLP as US counsel and Nader, Hayaux & Goebel as Mexican counsel.
