Conyers acted as special legal counsel in the Cayman Islands to Sunac China Holdings Limited (“Sunac China”) in connection with the issue of 5.95% Senior Notes due 2024 with an aggregate principal amount of US$600 million (the “2024 Notes”) and 6.5% Senior Notes due 2026 with an aggregate principal amount of US$500 million (the “2026 Notes”, together with the 2024 Notes, the “Notes”).

Conyers also acted as special legal counsel in the British Virgin Islands to the subsidiary guarantors of Sunac China, Zhuo Yue Real Estate Investment Holdings Limited, Ying Zi Real Estate Investment Holdings Ltd, Ding Sheng Real Estate Investment Holdings Ltd, Jujin Real Estate Investment Holdings Ltd, Qiwei Real Estate Investment Holdings Ltd. and Sunac Real Estate Investment Holdings Ltd in connection with the issuance of the Notes.

Sunac China is principally engaged in the sale of properties in the People’s Republic of China.
