Conyers acted as special legal counsel in the Cayman Islands to Modern Land (China) Co., Limited (the “Company”) in connection with an offering by the Company of 11.95% Senior Notes due 2024 with an aggregate principal amount of US$50 million (the “11.95% New Notes”) (to be consolidated and forming a single series with the Company’s 11.95% Senior Notes due 2024 with an aggregate principal amount of US$150 million issued on 4 March 2020) and 11.5% Senior Notes due 2022 with an aggregate principal amount of US$50 million (the “11.5% New Notes” and together with the 11.95% New Notes, the “New Notes”) (to be consolidated and forming a single series with the Company’s 11.5% Senior Notes due 2022 with an aggregate principal amount of US$250 million issued on 13 July 2020).

Conyers also acted as special legal counsel in the British Virgin Islands to Great Trade Technology Ltd., a subsidiary of the Company, in connection with the offering by the Company of the New Notes.

The Company engages in the provision of real estate development, property investment, hotel operation, project management, real estate agency, immigration, and household technology services in the People’s Republic of China and the United States. It also offers technology development and consulting services.
