Conyers Dill and Pearman acted for Axalta Coating Systems Ltd., a Bermuda exempted company, in a secondary IPO that was listed on NYSE on November 12, 2014. 50,000,000 shares were offered by certain affiliates of The Carlyle Group, with the underwriters being offered a 30 day option to purchase up to an additional 7,500,000 common shares. The IPO raised just under US$1 billion pre-overallotment and more after overallotment.
